Take notice that on December 19, 2002, TransColorado Gas Transmission Company (TransColorado) tendered for filing as part of its FERC Gas Tariff,
Original Volume No. 1, FiftySixth Revised Sheet No. 21 and Twenty Ninth Revised Sheet No. 22A, to be effective January 1, 2003.

TransColorado states that the filing is being made in compliance with the Commission's letter order issued March 20, 1997, in Docket No. RP97255000.

TransColorado states that the tendered tariff sheets propose to revise TransColorado's Tariff to reflect an

amended negotiatedrate contract with National Fuel Marketing Company.

TransColorado stated that a copy of this filing has been served upon all parties to this proceeding, TransColorado's customers, the Colorado Public Utilities Commission and the New Mexico Public Utilities Commission.

Any person desiring to protest said filing should file a protest with the Federal Energy Regulatory Commission, 888 First Street, NE., Washington, DC 20426, in accordance with Section 385.211 of the Commission's rules and regulations.
