  <description><![CDATA[ June 12, 2008.</p><p>    Pursuant to Section 19(b)(1) of the Securities Exchange Act of 1934 
(``Act'' or ``Exchange Act''),\1\ notice is hereby given that on 
October 12, 2006, The Depository Trust Company (``DTC'') filed with the 
Securities and Exchange Commission (``Commission'') and on March 29, 
2007, and May 3, 2007, amended proposed rule change No. SRDTC200616. 
On May 25, 2007, the Commission published notice of the proposed rule 
change as amended by Amendment 1 and Amendment 2.\2\ On December 31, 
2007, DTC filed a third amendment to proposed rule change. On February 
20, 2008, the Commission published notice of the proposed rule change 
as amended by Amendment 3.\3\ The Commission received 27 comment 
letters to the proposed rule change as amended by Amendments 1 and 2 
and 10 comment letters on Amendment 3.\4\ On May 31, 2008, DTC filed 
Amendment 4. The Commission is publishing this notice to solicit 
comments from interested parties on the proposed rule change as amended 
by Amendments 1, 2, 3, and <script type="text/javascript">

(``Act''),\1\ notice is hereby given that on January 9, 2008, The 
Options Clearing Corporation (``OCC'') filed with the Securities and 
Exchange Commission (``Commission'') the proposed rule change described 
in Items I, II, and III below, which items have been prepared primarily
